End-User License Agreement (EULA) of Calib Camera Calibrator

This End-User License Agreement ("EULA") is a legal agreement between you and Calib.io ApS

This EULA agreement governs your acquisition and use of our Calib Camera Calibrator software ("Software").

This license agreement shall take precedence over any terms or conditions put forth by a customer's purchase order, or any written or verbal communication.

Please read this EULA agreement carefully before completing the installation process and using the Calib Camera Calibrator software. It provides a license to use the Calib Camera Calibrator software and contains warranty information and liability disclaimers.

By purchasing or installing and/or using the Calib Camera Calibrator software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Calib.io ApS herewith regardless of whether other software is referred to or described herein. The terms also apply to any updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.


License Grant

Calib.io ApS hereby grants the licensee a private, non-transferable, non-exclusive licence to use the Calib Camera Calibrator software for internal business use.

Using the Software to generate measurements or data which is sold as part of a commercial product is not permitted. Such usage requires a "commercial license agreement" which may be obtained from Calib.io ApS.

You are permitted to load the Calib Camera Calibrator software on a computer/computers under your possession. Licenses are node-locked (bound to a specific physical computer). Perpetual licenses can be transferred to another machine under your possession, but only one time in any thirty day period. Transferring a license to another machine under your possession requires de-activating it on the first machine. Partly changing computer hardware or reinstalling the operating system also constitutes a license transfer. You are responsible for ensuring your computer meets the minimum requirements of the Calib Camera Calibrator software.

You are not permitted to:

    Use the software to calibrate devices which are sold commercially
    Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
    Reproduce, copy, distribute or resell the software
    Allow any third party to use the Software on behalf of or for the benefit of any third party
    Use the Software in any way which breaches any applicable local, national or international law
    Use the Software for any purpose that Calib.io ApS considers is a breach of this EULA agreement


Free Trial

Calib.io ApS may offer a free limited, non-exclusive, non-transferable, time-limited license to download, install and run the Software solely for testing purposes. A trial license does not include any support or maintenance and the Software is provided “AS IS” without warranty of any kind. At the end of the Trial Period, the Free Trial Software will automatically stop functioning. Calib.io ApS retains the right to refuse to issue a trial license at their own discretion.


Updates

Calib.io ApS may under their own discretion provide updates to the Software to improve functionality, usability or performance. These updates can be "minor releases", (e.g. "v1.1" to "v1.2" or "v1.1.0" to "v1.1.1") or "major releases" (e.g. "v1.2" to "v2.0").

A purchased license shall be valid for the current "major release" of the software and the following "minor releases". The EULA may change between "minor releases". To access a new "major release", a new license must be purchased. Calib.io ApS is under no obligation to provide updates of any sort.

Support

Licenses are bound to a named email address. Limited email support may be provided to the personal owner of the license email address. Support requests must originate from the license email address.


Third party licenses

The Software directly integrates software components developed by third parties. The licenses for these components are distributed with the Software. Licensee agrees to comply with these third-party license terms.


Intellectual Property and Ownership

Calib.io ApS shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Calib.io ApS.

Calib.io ApS reserves the right to grant licences to use the Software to third parties.


Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Calib.io ApS.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.


Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Denmark.
